Banana Bay already has the foundation for a meaningful food-and-beverage experience: a waterfront setting, an existing bar, a resort pool, outdoor space, and a guest base already on property.
The objective of Banana Bay Activation Plan is not to undertake unnecessary permanent construction. It is to activate those existing assets quickly and intelligently, install the missing operating infrastructure, build the right team, and establish a food-and-beverage operation Banana Bay management can sustain after implementation.
In 90 days, FABS will design, implement, launch and stabilize Banana Bay's defined food-and-beverage operation, install the operating systems required to manage it, train the property team, and transition day-to-day operation to Banana Bay management.
The Operating Principle
Activate existing underutilized resort assets before introducing unnecessary permanent construction.
The deployment is supported by FABS Hospitality Operating System™, the existing ordering application, standardized operating procedures, and performance measurement and management infrastructure.

Create and launch a consistent resort breakfast operation using flexible outdoor infrastructure designed specifically for Banana Bay.
The activation includes menu development, pricing, service model, buffet/service infrastructure, operating supplies, vendor setup, staffing, training and guest-service standards.
The outdoor environment is deliberately designed as reusable F&B infrastructure, allowing Banana Bay to evaluate future lunch, dinner and programming opportunities without committing to permanent construction today.
Activate the existing Sunset Pointe bar rather than rebuild it.
FABS will establish the beverage program, menu and pricing, opening inventory structure, equipment and supply requirements, staffing, training, service standards, SOPs and ordering integration necessary to place the bar into active resort operation.
Activate food-and-beverage service around the existing pool without constructing a new venue. The pool becomes a service environment connected to Sunset Pointe and the mobile-kitchen operation through the ordering and fulfillment model.
A mobile kitchen will provide the principal food-production capability required for the initial deployment without requiring Banana Bay to undertake construction of a conventional permanent restaurant kitchen.

The physical activation is only one part of the engagement.
FABS will install the operating infrastructure required to manage what is being created.
The deployment will configure FABS Hospitality OS™ around the activated Banana Bay operation to establish operating visibility, accountability, performance measurement and management discipline.
The existing ordering application will be configured for the activated operation, providing a digital ordering layer capable of supporting the bar, pool and applicable food-service environments.

FABS will work directly with Michael Berry and Banana Bay management to build the initial F&B team.
FABS will serve as the first qualification and recommendation layer for operating candidates. Banana Bay management retains final hiring approval and remains the employer of all property personnel.
During the initial opening period, Franco Blanco will provide hands-on operating leadership to establish the operation, train the opening team and transition daily execution to designated Banana Bay personnel.

Deployment Preconditions
Day 1 begins after execution of the deployment agreement, receipt of the initial FABS implementation payment, availability of the approved deployment capital, property access, and required ownership authorizations necessary to begin implementation.
Delays in property funding, approvals, access, permitting, utilities, equipment availability or other dependencies outside FABS' reasonable control will adjust affected deployment milestones accordingly.
FABS leads the implementation.
Priorities include final operating design, equipment and infrastructure deployment, menus, pricing, vendors, opening inventory, Hospitality OS™ configuration, ordering application configuration, recruitment, candidate screening, training and launch.
FABS provides hands-on opening leadership while the permanent operating team is assembled.

Day 90 is not simply the end of a consulting period.
It is the completion of an implementation.
Subject to property dependencies and the agreed deployment scope, the transition package is intended to include:
Banana Bay then assumes responsibility for normal day-to-day F&B operation through its designated management and employees.
FABS will remain engaged for up to 30 additional days of limited stabilization support following the Day-90 management handoff.
This period is intended for KPI review, leadership coaching, implementation troubleshooting, performance monitoring and confirmation that the installed operating structure is functioning as intended.
It is not an additional month of full-time FABS operation or staffing coverage.
The limited 30-day post-deployment stabilization period is included within the $50,000 Professional Implementation Fee.

Compensation to FABS for the professional work required to design, implement, activate, launch, stabilize and transition the Banana Bay Activation Plan.
Payment Schedule
The implementation fee is separate from property capital and operating expenses and is not contingent upon operating revenue, profitability or achievement of speculative financial projections.

Property-Funded Deployment Capital (Estimated)
This capital is not compensation to FABS.
It funds the physical and opening requirements necessary to activate the defined operation: mobile kitchen, breakfast tent and service infrastructure, outdoor dining furniture, refresh and activation of the existing poolside and Sunset Pointe bar environments, culinary and bar equipment, opening inventory, and operating materials.
Final purchases and allocations will be established through an approved deployment budget.

Poolside Bar & Gazebo Refresh + Activation — cosmetic refresh, lighting, sound, signage/branding, service equipment and other minor improvements required to activate the existing poolside environment. No structural build-out contemplated.
Sunset Pointe Bar Refresh + Activation — cosmetic refresh, lighting, sound, signage/branding, service equipment, presentation and minor improvements to enhance and activate the existing bar. No structural build-out contemplated.
Property-funded equipment, furnishings and other physical assets acquired through the approved deployment budget will remain property assets of Banana Bay unless otherwise identified in writing before purchase. FABS retains ownership of its pre-existing intellectual property, software, methodologies, operating systems and independently owned equipment.
Banana Bay separately remains responsible for property payroll, employees, ongoing inventory replenishment, utilities, permits and licenses, insurance, merchant/POS charges, applicable third-party software, maintenance and normal operating expenses.
The FABS implementation fee is not an operating fund.
Banana Bay retains 100% of operating revenue generated by the activated operation.

This does not mean those opportunities disappear.
It means we earn the right to evaluate them using real operating evidence.
Future activations should follow evidence — not assumptions.
Additional scope may be added only by mutual written agreement addressing any resulting capital, fee and timeline requirements.

This proposal is intentionally different from a traditional long-term operating partnership.
From there, the parties can evaluate future opportunities based on what the operation has actually demonstrated — including additional meal periods, revenue centers, expanded F&B programming or a broader FABS Hospitality Operating System™ deployment. There is no requirement to make those decisions today.
FABS Hospitality OS™ access during the deployment and stabilization period is included as part of the implementation. Continued platform access following the stabilization period may be maintained under a separate subscription, license, optimization engagement or other mutually agreed arrangement. The Professional Implementation Fee does not convey perpetual software or platform rights.
Authorize Banana Bay Activation Plan, establish the approved deployment budget, satisfy deployment preconditions, and begin implementation.
Activate what Banana Bay already has, design and implement what is missing, install the operating discipline behind it, and leave the property with a sustainable F&B operation built to perform beyond the deployment.

Underlying Legal Instrument
The definitive F&B Activation & Operating-System Implementation Agreement sits beneath this proposal and carries the legal machinery: commencement date, property preconditions, approval deadlines, schedule extensions, payment protection, FABS implementation authority, Banana Bay employment and hiring obligations, change control, insurance and indemnification, termination, confidentiality, FABS pre-existing IP, property operating data, de-identified learning rights, separate approval for name/logo/case-study use, continued platform access after stabilization, and the exact limits of Days 91–120 stabilization.
The agreement also establishes that hands-on operating leadership during the deployment is implementation activity — not property staffing coverage — and that Banana Bay carries a continuing obligation to recruit and hire the designated operating team.
